On mine you *must* disable the APM alarm in order for the ACPI alarm
to work.  Maybe that's a solution for the OP, though he did say he
tried both ways.

I would suggest enabling the wakeup in the BIOS and setting the BIOS
wakeup values to 00:00:00. (and crossing fingers).

I had to make the same hack as you (to /etc/init.d/halt) to get ACPI
wakeup to work, but I don't see why you would have to do that to
disable it.
