I'd suggest the
MSI K8NGM2-NBP Socket 939 NVIDIA GeForce 6150 Micro ATX AMD Motherboard
http://www.newegg.com/Product/Product.asp?Item=N82E16813130540

which has the 6150, DVI output and an SPDIF header on the motherboard,
which would required an SPDIF addon cable, which many MicroATX HTPC
cases have. It's socket 939 so will have a little more life than the
754. I'd also suggest as fast a Athlon64/Opteron as you can afford, it
will help with future x264 decoding.
