You are losing quality, because you're decoding the MP2 into raw PCM
and then re-encoding as MP3.  Not losing more than any other method of
converting MP2 into MP3, though (although many MP3 players will handle
MP2 just fine, so if you really want quality, then chop it at the
frames and don't transcode at all).
