They are exactly the same. The HDTV version just bundles a HD capable  
decoder/software that you don't need anyway. So buy the cheaper one.

Correct. Though the CI doesn't necessarily need to be mounted into a  
PCI slot, you can also mount it into a 3.5" bay.
